Senior Business Development and Contracts Officer
Job Description Summary
The Senior Business Development and Contracts Officer is primarily responsible for managing and ensuring compliance with contractual obligations and for negotiating agreements/contracts.
Duties and Responsibilities
Management of agreements/contracts:
Identifying and summarizing STEMCELL’s rights and obligations under an executed contract.
Communicating applicable rights and obligations to appropriate internal stakeholders.
Liaising with internal and external stakeholders to ensure all contractual obligations are timely met.
Ensuring STEMCELL’s compliance with its contractual obligations, such as: i) ensuring that the applicable products are included in royalty reporting and payment processes; ii) coordinating with the finance department to calculate, pay and report on contractual payments, including licensing royalties; iii) coordinating with other departments to fulfill reporting and performance obligations.
Working with the Business Development Coordinator/Associate to effectively organize and maintain STEMCELL’s database of executed agreements/contracts.
Maintaining and updating a system for notifying relevant internal and external stakeholders of contract-related deadlines.
Proofreading and providing a review, analysis, risk assessment, and interpretation of contractual terms, obligations and regulations on draft and executed agreements/contracts.
Drafting and negotiating various agreements/contracts as necessary, including confidentiality, material transfer, license, supply and service agreements.
Creating, fostering and managing relationships with potential and active partners, including technology transfer offices (for licensing opportunities).
Researching and evaluating new business opportunities and new technologies for potential licensing.
Graduate degree preferred; minimum undergraduate degree in immunology, hematology, molecular or cell biology, biochemistry, or a related life science field.
JD, MBA, PMP and/or patent agent designation an asset.
Financial analysis experience and/or education an asset.
Highly developed project management and organizational skills.
Demonstrated ability to establish and maintain effective working relationships with internal and external stakeholders with varying perspectives.
Expertise and experience in drafting, negotiating and interpreting agreements/contracts that address legal, business, financial and technical contract requirements (at least 2 years experience preferred).
Strong negotiation skills with the ability to express complex matters clearly and effectively.
Experience working in a dynamic team, and seeking/applying instruction, feedback and advice.
The capacity for critical and creative thinking with strong attention to detail.
Effective, clear and professional communication skills, both oral and written.
General knowledge of intellectual property licensing and management preferred.
